These Terms and Conditions ("Terms") govern the licensing and use of the Dr. Emma AI application (the "Service") for business and clinical entities ("Licensee", "you").
Dr. Emma AI is an AI-powered tool designed for supportive conversations and wellness tracking. It is not a substitute for professional medical advice, diagnosis, or treatment provided by a qualified human therapist. The Licensee is solely responsible for the therapeutic services and advice provided to its clients.
We grant you a non-exclusive, non-transferable, perpetual license to use the Service for your internal business operations, subject to the terms of our agreement. This license does not permit the resale, redistribution, or modification of the Service.
The Service's AI functionalities rely on third-party services (e.g., Google Gemini). The Licensee is responsible for obtaining and managing their own API keys and for all costs associated with their use. The Service will be configured to use the Licensee's API key, and the Licensee will be billed directly by the third-party provider for their usage. We are not responsible for these third-party charges.
The Service is designed with a "privacy-by-design" architecture. All client-facing data, including chat logs, journal entries, and mood data, is stored exclusively on the end-user's (client's) local device. No client data is transmitted to or stored on our servers. The Licensee is responsible for informing its clients of this data storage model.
In no event shall we be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service. Our total liability for any claim arising out of or relating to these terms or the Service is limited to the amount you paid for the software license.
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which the company is established, without regard to its conflict of law provisions.
